Rules

Article 1 – Philosophy and Purpose

The Network is a non-exclusive, capacity-limited alliance of independent freight forwarders. Its purpose is to enable independent forwarders to compete with large multinationals through cooperation, cargo sharing, and financial security, while each member retains full commercial autonomy.

Article 2 – Member Limit per City or Region

  1. A maximum of 3 members shall be admitted per city or metropolitan area (or up to 5 members in tier-1 logistics hubs such as Shanghai, Rotterdam, or Chicago).
  2. This limit is designed to prevent excessive internal competition and to foster durable, trust-based working relationships.

Article 3 – Admission Requirements

  1. The applicant company must have been in continuous operation for at least 2 years in the freight forwarding or logistics sector.
  2. The applicant must provide three professional references from clients or business partners.
  3. The Admissions Committee shall verify references and check reputation within a maximum of 5 business days.
  4. Any company with a history of defaults, fraud, or bad business practices shall be denied admission.

Article 4 – Fees and Additional Offices

  1. Standard annual fee: calculated based on the member's market, city population.
  2. Additional offices: branches in other cities may be affiliated by paying 50% of the standard fee per additional office.
  3. Referral program: For each new member accepted, the referring member receives a 25% discount on their next annual fee. Maximum discount: 100% (one free year), limited to 4 referrals per calendar year.

Article 5 – Mandatory Annual Meeting

  1. Each member shall send at least one representative to the Annual General Meeting (announced at least 6 months in advance).
  2. An unjustified absence shall incur a fine equal to 20% of the annual fee. Two consecutive unjustified absences shall result in automatic expulsion.

Article 6 – Code of Conduct

  1. Fair cooperation: Members shall not demand abusive margins nor boycott existing relationships.
  2. Payment terms: Agreed deadlines shall be respected. Disputes shall first go to internal mediation by the Network's Committee.
  3. Confidentiality: Internal rates and shared data shall not be disclosed to non-members under any circumstances.

Article 7 – Suspension and Withdrawal

  1. Serious breach (including repeated non-payment, fraud, or violation of confidentiality) shall cause immediate expulsion with no refund of any fees paid.
  2. A member may voluntarily withdraw by providing 60 days' written notice. No proportional refund shall be given.
